Terms and Conditions

1. Services Provided: U-Reserve-It.Com agrees to create and maintain an on-line reservation system for Customer and provide reasonable availability of the system pursuant to the terms and conditions of this Agreement. 2. Rates: Charges for service are based on the number of Customer's resources (boats, cars, aircraft, simulators, hangers, or any other item) specified in the system regardless of whether they are enabled for reservations and regardless of whether there are existent reservations for said resources. The rate is $14.95 per month per recource for the first nine (9) resources, $7.95 per month each for resources 10 through 29. Resources 30 and above are charged at $4.95 each per month. Changes in the number of resources affect the following month's charges. 3. Payment: Customer agrees to pay for the use of the U-Reserve-It.Com on-line reservation system in advance, beginning on a date thirty (30) days from the date this contract is submitted. The first thirty (30) days are considered a free trial period. Subsequent to this trial period, and unless notified by Customer prior to the end of this period, U-Reserve-It.Com will automatically bill the Customer's credit-card account in advance, on a monthly schedule, and Customer hereby expressly consents to such billing. Customer may terminate this agreement at any time and upon notice of such termination, U-Reserve-It.Com will discontinue billing Customer's credit card account, and disable access to Customer's reservation system at the end of the current service period. 4. System Maintenance: a. Customer agrees to inform all of its members (a member is anyone Customer gives access to the system via a user name and password) about the proper use of the system and will make every attempt to prevent abuse of the system by customer's members and associates or other individual(s) who may gain access to the system. b. U-Reserve-It.Com may purge old reservation data from the system on a monthly basis. Reservations data over two years old may be deleted. For example, a reservation for 09/21/2006 (regardless of the date it may have been created) may be deleted from the system anytime after 09/21/2008. c. Customer agrees to be and is wholly responsible for adding and deleting resources and users as necessary to properly manage the system for their use. d. U-Reserve-It.Com cannot restore data which is lost due to any reason including mistakes, careless use, or intentional malicious acts by any Customer, user, or other individual(s) who may gain access to the system. e. Conditions outside of the control of U-Reserve-It.Com shall not be deemed the responsibility of U-Reserve-It.Com. Such conditions include, by way of example and without limitation, equipment failure or other system problems at the Internet service provider providing services to U-Reserve-It.Com, delays due to excessive traffic on the Internet, interruptions in service due to weather, earthquakes, fire, flood, or acts of God. f. Any interruptions in service which exceed 24 hours and are the responsibility of U-Reserve-It.Com shall result in a service credit applied to the customer's account equal to the number of full days of interrupted service. Under no circumstances shall refunds be issued. g. As with all computer systems, if data is restored from a backup due to a system failure it will not include any data which was possibly added to or modified in the system between the time the backup was made and the time of the system failure or the time the data is restored from the backup. Thus any changes to the database (new resources, reservations, cancellations, new users, etc.) which occur after a backup is created and before the next backup, are at risk of loss. Customer acknowledges this possible circumstance. 5. Technical Support: U-Reserve-It.Com shall provide technical support related to the creation, setup, use, and maintenance of a U-Reserve-It.Com reservation system, to paying Customers only. Customer agrees to provide support to anyone to whom Customer gives access to the system. All technical support questions and issues must come from the listed contact person, or a person authorized and identified to U-Reserve-It.Com in advance by the Customer. Only Customers with accounts in good standing are authorized to receive technical support. All technical support shall be conducted via e-mail and all technical support questions should be directed to: TechSupport@U-Reserve-It.com. 6. Indemnification: Due to the potential for death and injury from the use of aircraft, boats and cars, Customer and the organization Customer represents shall be fully responsible for all maintenance, repair, insurance, registration and other fees for, and operating conditions of, any aircraft listed on the system. Customer shall be also wholly responsible for ascertaining and assuring the qualifications of Customer's member users. Therefore, Customer agrees to indemnify and hold U-Reserve-It.Com, its owners, officers, directors, employees, agents, parent and subsidiary entities harmless from any damages whatsoever arising from or relating to the use of such aircraft. Should U-Reserve-It.Com or its owners, principals, officers, directors, employees, agents, parent or subsidiary entities be named in any action for any such damages, U-Reserve-It.Com shall be entitled to the legal counsel of its own choosing at Customer's expense. 7. General Provisions: a.Integration: This is the sole agreement between the Customer and U-Reserve-It.Com for use of the U-Reserve-It.Com on-line reservation system. b. Applicable Law: Except for the choice of law principals, this agreement will be governed by the laws of the State of California. c. Remedies: In no event shall U-Reserve-It.Com be liable to Customer for Customer's lost profits or special, incidental or consequential damages (even if U-Reserve-It.Com has been advised of the possibility of such damages). d. Resolving Disputes: If a dispute arises under this agreement, the parties agree to submit the dispute to binding arbitration through a member of the American Arbitration Association, in San Francisco, California. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction to do so. Costs of arbitration, including attorney fees, will be allocated by the arbitrator. e. Attorneys' Fees: In the event of any litigation or similar proceeding between the parties to this Agreement, the prevailing party or parties shall be entitled to recover from the other party or parties, in addition to any other recovery and costs, reasonable attorney fees and costs incurred in such litigation, at all levels.

A request for the creation of and the subsequent use of a U-Reserve-It.Com reservation system constitutes an implicit agreement to all the terms of this contract.
